Terms of Service

These Terms of Service ("Terms") govern your use of PowerDispatcher ("PowerDispatcher," "Service," "we," "our," or "us"), operated by North Star Logic Group LLC.

By accessing or using PowerDispatcher, you agree to be bound by these Terms.

If you are using PowerDispatcher on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree with these Terms, you may not use the Service.

You must be at least 18 years old to use PowerDispatcher.

You represent that all information provided during registration is accurate and that you will keep your account information current.

PowerDispatcher is a cloud-based dispatch management platform designed for trucking companies, freight dispatchers, and transportation professionals. The platform may include features such as:

• Load management
• Carrier management
• Driver management
• Broker management
• Dispatch planning
• Route planning
• Negotiation tools
• Document management
• Invoice generation
• Commission tracking
• Reports and analytics
• Workflow automation
• Customer-requested intelligent features

We may add, improve, modify, or discontinue features at any time.

Access to PowerDispatcher is provided through approved user accounts. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity occurring under your account
• Ensuring only authorized users access your workspace
• Promptly notifying us of unauthorized account activity

Each subscription seat is intended for one named user and may not be shared among multiple individuals.

PowerDispatcher is offered on recurring subscription plans. Unless otherwise stated:

• Subscription fees are billed in advance.
• Subscription plans automatically renew until canceled.
• You may cancel your subscription at any time.
• Cancellation becomes effective at the end of your current billing period.
• No refunds are provided for partial billing periods unless required by applicable law.

Failure to maintain an active subscription may result in suspension or termination of access.

Customers retain ownership of all operational information stored within PowerDispatcher. This includes:

• Loads
• Drivers
• Carriers
• Brokers
• Documents
• Invoices
• Uploaded files
• Notes
• Operational records

You grant North Star Logic Group LLC a limited, non-exclusive license to host, store, process, transmit, and display your information solely for the purpose of operating and supporting the PowerDispatcher platform.

Subject to our data retention policies, customers may export their information for up to 30 days following account cancellation.

Customers are responsible for:

• Maintaining accurate business records
• Protecting account credentials
• Obtaining necessary permissions for uploaded information
• Maintaining required FMCSA, DOT, insurance, and licensing compliance
• Ensuring dispatch decisions comply with applicable laws and broker agreements

PowerDispatcher is a software platform and does not act as a licensed freight broker, motor carrier, or legal advisor.

You agree not to:

• Attempt unauthorized access to any account or system
• Access another customer's information
• Reverse engineer or copy the Service
• Introduce malware or malicious code
• Interfere with platform availability
• Upload unlawful, fraudulent, or infringing content
• Use PowerDispatcher in violation of transportation, privacy, anti-spam, or other applicable laws

Violation of these Terms may result in immediate suspension or termination.

PowerDispatcher integrates with trusted third-party providers including, but not limited to:

• Supabase
• Stripe
• Resend
• Google Analytics
• OpenAI
• DeepSeek

Your use of services provided by these third parties may also be subject to their respective terms and privacy policies.

PowerDispatcher, including its software, design, branding, logos, graphics, documentation, and content, is the property of North Star Logic Group LLC and is protected by applicable intellectual property laws.

These Terms do not grant you ownership of the Service or its underlying technology.

Certain features within PowerDispatcher may use artificial intelligence or machine learning technologies provided by trusted third-party providers. These features are intended to assist users with operational workflows and productivity.

Customers remain solely responsible for reviewing, verifying, and approving all information before relying upon it for business decisions.

AI-generated outputs are provided for informational purposes and should not be considered legal, financial, regulatory, or professional advice.

While we strive to maintain reliable service availability, PowerDispatcher does not guarantee uninterrupted or error-free operation.

Maintenance, upgrades, internet outages, or circumstances beyond our control may temporarily affect availability. We will make reasonable efforts to restore service promptly.

PowerDispatcher is provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement

PowerDispatcher does not guarantee:

• Load availability
• Freight rates
• Carrier profitability
• Broker payment
• Regulatory compliance
• Revenue increases
• Business success
• Error-free operation

Dispatch decisions remain solely the responsibility of the customer.

To the fullest extent permitted by law, North Star Logic Group LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.

Our total aggregate liability arising from or relating to the Service shall not exceed the total subscription fees paid by you during the twelve (12) months immediately preceding the claim giving rise to liability.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply.

You agree to defend, indemnify, and hold harmless North Star Logic Group LLC, its owners, employees, contractors, and affiliates from any claims, damages, liabilities, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your uploaded content
• Your dispatch operations
• Your violation of applicable law

We may suspend or terminate accounts that:

• Violate these Terms
• Engage in fraudulent activity
• Threaten platform security
• Fail to maintain required subscription payments

Customers may terminate their subscriptions at any time through the billing portal. Termination does not relieve outstanding payment obligations.

These Terms shall be governed by and interpreted under the laws of the State of Georgia, without regard to conflict of law principles.

Any legal action arising from these Terms shall be brought in the state or federal courts located in Paulding County, Georgia, or the nearest court having proper jurisdiction, unless otherwise required by applicable law.

We may update these Terms from time to time. When material changes are made, we will revise the "Last Updated" date and may provide additional notice through the platform or by email.

Continued use of PowerDispatcher following the effective date of revised Terms constitutes acceptance of those changes.
